Terms of Service

1. Introduction & Definitions
These Terms of Service (“Terms”) govern your access to and use of Tokens Studio Plugins (the “Service”), provided by Hyma B.V., trading as Tokens Studio, having its registered office at Lage Gouwe 92, 2801 LJ Gouda, The Netherlands, registered with the Dutch Chamber of Commerce under number 59750502 (“Hyma”, “we”, “us”, or “our”).
By using the free versions of our plugins, creating an account, or purchasing a subscription, you (“Customer”, “you”) agree to these Terms. If you do not agree, you may not use the Service.
When Tokens Studio processes Client Content on behalf of Customers, the terms of the Tokens Studio Plugin Data Processing Agreement (DPA) apply. In cases of conflict, the DPA governs processing performed in the Processor role.
Key definitions:
Agreement: the contract between Hyma and the Customer, consisting of these Terms and any order confirmation or online subscription process.

Apply Variables for Figma
any related software, features, APIs, add-ons, and support.
Customer Content: any data, design tokens, configurations, or other material you create within the Service.
2. Applicability & Changes
These Terms apply to all use of the Service by Customers acting in a professional or business capacity (B2B).
Your own general terms and conditions do not apply, unless we expressly accept them in writing.
We may amend these Terms from time to time. We will notify you of significant changes at least 30 days before they take effect (by email or on our website). If you do not agree with the changes, you may terminate your subscription before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
3. Account Registration & Security
The Tokens Studio Plugin for Figma and Apply Variables plugins can be used without creating an account with Tokens Studio. However, an account must be created to use the Tokens Studio Plugin for Figma Starter Plus version.
When you create an account to use the Service, you represent and warrant that:
You are at least 18 years old and authorized to act on behalf of your organization (if applicable).
The information you provide is accurate and kept up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you suspect unauthorized access, you must notify us immediately and update your password.
4. Subscriptions & Payments
If you do opt for a paid subscription plan, the below conditions apply:
Billing cycles: Monthly or yearly, depending on the plan you select.
Auto-renewal: Subscriptions renew automatically under the same conditions unless cancelled in accordance with your termination period.
Cancellation: You may cancel at any time via your account settings or by contacting support. The subscription remains active until the end of the current billing period.
Refunds: Subscription fees paid are non-refundable.
Payment: You must provide a valid payment method (credit card, PayPal, etc.). If a payment fails, we may suspend or terminate your account until payment is received.
Late payment: Unpaid amounts may accrue interest at 1.5% per month (or the statutory commercial interest if higher) plus reasonable collection costs.
Add-on services (e.g., coaching sessions) are billed separately and are non-refundable once delivered.
5. Acceptable Use
You may use the Service only for lawful business purposes. You agree not to:
Violate any applicable law or third-party rights.
Upload content that violates laws or statutes of any relevant jurisdiction.
Copy, modify, reverse engineer, or resell the Service.
Introduce malware or interfere with the Service’s operation.
Misuse the Service in a way that could harm Tokens Studio, its users, or its infrastructure.
We may suspend or terminate your account with immediate effect for breach of this section.
6. Intellectual Property & Customer Content
Our IP: We own all rights, title, and interest in and to the Service, including all software, databases, documentation, and improvements.
Your IP: You own all rights in your Customer Content.
Aggregated data: We may use anonymized and aggregated data for analytics, research, and improving the Service.

7. Service Availability & Changes
We provide the Service on an “as-is” basis without guaranteed uptime. We may temporarily suspend the Service for maintenance or security reasons and are not liable for resulting downtime.
We may add, change, or remove features at any time. If a major feature is deprecated, we will make reasonable efforts to notify you in advance.
8. Liability & Indemnification
To the maximum extent permitted by law:
Disclaimer: The Service is provided “as is.” We disclaim all implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability: Our aggregate liability for any claim is limited to the total subscription fees you paid for the Service (excluding fees for add-ons or coaching) in the 12 months preceding the event giving rise to the claim.
Exclusions: We are not liable for indirect, incidental, or consequential damages (including loss of data, profits, or business opportunities).
No limitation: These exclusions do not apply to damages resulting from malafide intent or gross negligence on the part of Tokens Studio.
You agree to indemnify us against all claims arising from violations related to your Customer Content or unlawful use of the Service.
9. Termination & Suspension
Either party may terminate the Agreement by giving written notice at least one month before the end of the current billing cycle.
We may suspend or terminate your account immediately if:
You materially breach these Terms,
You fail to pay amounts due, or
We reasonably believe your use poses a risk to the security or integrity of the Service.
Upon termination, your access to the subscribed service will end.
10. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including internet outages, cyberattacks, pandemics, war, civil strife, terror attacks, or government restrictions. If such an event continues for more than three months, either party may terminate the Agreement.
11. Confidentiality & Data Protection
We will treat Customer Content and other confidential information with care and in accordance with our Privacy Policy.
12. Amendments
We may update these Terms as described in Article 2. If you do not agree with the updated Terms, you may terminate your subscription before the changes take effect.
13. Governing Law & Dispute Resolution
These Terms and all related agreements are governed by Dutch law.
Before initiating legal action, both parties will attempt to resolve disputes through good-faith negotiation. If no resolution is reached within 30 days, either party may propose mediation. If mediation fails, disputes will be submitted to the competent court in The Hague, The Netherlands.
14. Miscellaneous
Assignment: You may not assign or transfer the Agreement without our written consent. We may assign the Agreement in connection with a merger, acquisition, or sale of assets.
Severability: If any provision is found invalid, the remaining provisions will remain in full force.
Entire Agreement: These Terms constitute the entire agreement between you and Hyma regarding the Service.
